Terms of Service

1. Introduction
These Terms of Service ("Terms") govern your access to and use of the Cost+ Checkout service, including the Shopify app published under the name "Cost+ Checkout", the associated APIs and dashboards at checkout-api.costplus.io and dashboard.costplus.io, the buyer-facing hosted checkout pages at checkout.costplus.io, and any related documentation (together, the "Service").
The Service is provided by Costplus OÜ, a company registered in Estonia, with its registered office at [street address, postcode, city], Estonia, company registration number [registry code] ("Costplus", "we", "us", or "our").
By installing the Cost+ Checkout Shopify app, creating an account at dashboard.costplus.io, or otherwise using the Service, you ("Merchant" or "you") agree to be bound by these Terms. If you do not agree, do not install or use the Service.
2. Description of the Service
Cost+ Checkout is a funnel-orchestration tool for merchants operating on Shopify and other supported platforms. The Service enables merchants to:
- Define one or more checkout flows using a visual flow designer, including conditional routing, A/B tests, scheduled variants, fraud-check integration, and multi-project bindings;
- Route shoppers arriving from merchant-controlled entry points (such as email campaigns, landing pages, social advertisements, or direct storefront links) through a consistent branded checkout experience;
- Process payments for checkout sessions via Cost+'s payment infrastructure or a merchant-configured payment provider;
- Create corresponding orders in the merchant's Shopify store (or, for direct-API merchants, via a webhook the merchant defines) after the buyer completes payment;
- Handle refunds, cancellations, and capture events initiated by the merchant through Shopify admin or the Cost+ dashboard.
Costplus reserves the right to modify, suspend, or discontinue any part of the Service at any time, with reasonable prior notice where practicable.
3. Eligibility and account registration
You must be at least 18 years old and legally capable of entering into binding contracts under the laws of your jurisdiction. You must register for the Service through dashboard.costplus.io or through installation of the Cost+ Checkout Shopify app. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at security@costplus.io if you suspect unauthorised access.
4. Your content and data
You retain all rights to the content, data, product information, customer lists, and flow definitions you provide to the Service ("Your Content"). By using the Service, you grant Costplus a worldwide, non-exclusive, royalty-free licence to host, process, display, and otherwise use Your Content solely to the extent necessary to provide the Service to you and to your customers.
You warrant that Your Content does not infringe the rights of any third party, and that you have obtained all necessary consents (including from your customers) for Costplus to process the Personal Data described in our Privacy Policy and in the Data Processing Agreement.
5. Data processing and data protection
5.1 Privacy Policy
Our Privacy Policy at https://costplus.io/privacy-policy describes how we collect, use, and protect Personal Data relating to you and to the buyers who complete checkout through the Service. You acknowledge that you have read and understood the Privacy Policy.
5.2 Data Processing Agreement
When you use the Service to process Personal Data of buyers who are resident in the European Economic Area, the United Kingdom, or any other jurisdiction whose data-protection law requires a controller-to-processor agreement, the Data Processing Agreement at https://costplus.io/dpa is incorporated into these Terms by reference and forms a binding part of the agreement between you and Costplus. By installing the Service, you are deemed to accept the Data Processing Agreement on behalf of yourself and, where applicable, your group companies.
You are the data controller with respect to Personal Data of your customers. Costplus acts as your data processor, processing Personal Data only on your documented instructions and in accordance with the Data Processing Agreement.
5.3 Sub-processors
Costplus may engage sub-processors as described in Annex 2 of the Data Processing Agreement. Changes to the sub-processor list will be notified in accordance with that Annex.
6. Merchant obligations
You agree that you will:
- Comply with all applicable laws (including data-protection, consumer-protection, tax, customs, and anti-money-laundering laws) in your use of the Service;
- Maintain all required consents and transparency information for your customers under Articles 13 and 14 GDPR and any equivalent local law;
- Provide accurate and up-to-date information about your business, products, tax configuration, and payment arrangements;
- Use the Service only for lawful goods and services. The Service may not be used to sell or distribute: illegal goods or services; counterfeit goods; weapons, ammunition, or explosives; controlled substances or drug paraphernalia in jurisdictions where prohibited; adult content in jurisdictions where prohibited; human trafficking or exploitative services; or any other category of goods or services prohibited by Cost+'s payment infrastructure partners from time to time;
- Not attempt to reverse-engineer, decompile, or otherwise extract the source code of the Service, except as expressly permitted by applicable law;
- Not use the Service to send unsolicited commercial communications, to engage in fraud, or to evade another merchant's chargeback obligations;
- Not attempt to bypass, disable, or defeat any security or authentication mechanism in the Service.
7. Intellectual property
The Service, including the Shopify app, the flow designer SPA, the hosted checkout pages, the APIs, the documentation, the Cost+ Checkout brand, and all associated copyrights, trade marks, trade secrets, and other intellectual property rights, are owned by Costplus or its licensors. These Terms do not grant you any right, title, or interest in the Service except the limited, non-exclusive, non-transferable licence to use the Service in accordance with these Terms during the term of your subscription.
You grant Costplus a non-exclusive, royalty-free licence to use your business name, logo, and storefront imagery solely to identify you as a merchant of the Service, in marketing materials, case studies, and merchant directories, unless you opt out by written notice to legal@costplus.io.
8. Fees and payment
8.1 Subscription and transaction fees
Fees for the Service are set out in the pricing information displayed at dashboard.costplus.io/pricing or otherwise communicated to you in writing. Fees may include a monthly subscription fee, a per-transaction fee, a percentage of processed volume, or any combination thereof, and may vary by plan.
8.2 Billing
Fees are invoiced monthly in arrears unless otherwise agreed. Payment is due within 14 days of the invoice date, payable by the payment method you have configured in the dashboard. Late payments accrue interest at the statutory rate plus 2%, calculated daily.
8.3 Taxes
All fees are exclusive of VAT and other applicable taxes, which shall be added where required. You are responsible for all taxes applicable to your business's use of the Service, including VAT on merchant-side transactions.
8.4 Changes to fees
Costplus may change the fees at any time with at least 30 days' prior written notice. If you do not agree with the new fees, you may terminate the Service as set out in Section 12 before the new fees take effect.
9. Third-party services
The Service integrates with third-party platforms, including Shopify, payment processors, shipping carriers, tax calculation providers, and fraud-detection providers. Your use of those third-party services is governed by the third party's own terms, and Costplus is not responsible for their performance, availability, or the decisions they make (for example, fraud declines or shipping-rate decisions). You are responsible for maintaining valid accounts and credentials with any third-party services you configure in the Service.
Integration with the Shopify platform is subject to Shopify's own terms of service, API licence terms, and Partner Program Agreement. Termination of your Shopify subscription or the Cost+ Checkout app's listing on the Shopify App Store may result in suspension or termination of your access to the affected functionality.
10. Disclaimer of warranties
To the maximum extent permitted by applicable law, the Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, title, non-infringement, or continuous availability. Costplus does not warrant that the Service will be uninterrupted, error-free, secure, or free from harmful components, nor that it will meet your specific business requirements.
Nothing in this Section limits liability that cannot be excluded or limited under applicable consumer-protection law.
11. Limitation of liability
11.1 Excluded damages
To the maximum extent permitted by applicable law, neither Party shall be liable to the other for any indirect, incidental, consequential, special, punitive, or exemplary damages (including lost profits, lost revenue, loss of goodwill, or loss of data that could have been prevented by reasonable backup practices) arising out of or relating to the Service or these Terms, even if such Party has been advised of the possibility of such damages.
11.2 Aggregate cap
The aggregate liability of each Party to the other under or in connection with the Service and these Terms in any 12-month period shall not exceed the greater of (a) the total fees paid or payable by the Merchant to Costplus under these Terms during the 12 months immediately preceding the event giving rise to liability, or (b) one thousand euros (€1,000).
11.3 Exceptions
The limitations in Sections 11.1 and 11.2 do not apply to: (a) either Party's indemnification obligations; (b) either Party's breach of confidentiality obligations; (c) Costplus's obligations under the Data Processing Agreement with respect to a personal-data breach caused by Costplus's gross negligence or wilful misconduct; or (d) any liability that cannot be excluded or limited under applicable law.
12. Term and termination
12.1 Term
These Terms take effect on the date you first install the Shopify app or create an account at dashboard.costplus.io and continue in force until terminated in accordance with this Section.
12.2 Termination by Merchant
You may terminate these Terms at any time by uninstalling the Shopify app from your Shopify store and/or deleting your account at dashboard.costplus.io. Prepaid subscription fees are non-refundable except where expressly required by applicable consumer-protection law.
12.3 Termination by Costplus
Costplus may suspend or terminate your access to the Service with at least 30 days' prior written notice for convenience, or immediately if: (a) you materially breach these Terms and fail to cure the breach within 14 days of written notice (where curable); (b) you become insolvent, enter bankruptcy or a similar procedure, or cease to carry on your business; (c) your use of the Service violates applicable law; or (d) your use of the Service is flagged by a payment-processing partner or by Shopify as high risk and cannot be remediated by reasonable means.
12.4 Effect of termination
Upon termination: (a) your access to the Service is revoked; (b) Costplus will retain Personal Data only for the retention periods set out in the Data Processing Agreement; (c) outstanding fees through the termination date remain due and payable; and (d) the clauses that by their nature should survive (including Sections 5, 7, 10, 11, 12.4, 14, 15, 16, and 17) shall survive.
13. Confidentiality
Each Party shall protect the other Party's confidential information with at least the same degree of care it uses to protect its own confidential information of a similar nature, and in any event with no less than reasonable care. Confidential information includes, without limitation, business plans, pricing, source code, customer lists, and data shared under the Service. Confidential information does not include information that is publicly known through no fault of the receiving Party, was already known before disclosure, is independently developed without use of the other Party's confidential information, or is required to be disclosed by law (in which case the receiving Party shall, where lawful, give prompt notice to the disclosing Party).
14. Changes to the Terms
Costplus may modify these Terms from time to time. Material changes will be notified by email to the address associated with your account or by prominent notice in the dashboard, at least 30 days before the changes take effect. Non-material changes (such as clarifications or typo corrections) may be made at any time, with the updated version posted at the URL above. Your continued use of the Service after the effective date of any modification constitutes acceptance of the modified Terms.
15. Indemnification
You shall defend, indemnify, and hold harmless Costplus and its officers, directors, employees, and agents from and against any claims, losses, damages, and expenses (including reasonable attorneys' fees) arising out of: (a) your breach of these Terms; (b) your use of the Service in violation of applicable law; (c) Your Content, including any claim that Your Content infringes a third party's rights; or (d) any dispute between you and a customer relating to products or services sold through the Service.
16. Governing law and jurisdiction
These Terms are governed by the laws of Estonia, without regard to its conflict-of-laws rules. The Parties submit to the exclusive jurisdiction of the courts of Harju County, Estonia, for any dispute arising out of or in connection with these Terms, subject to any mandatory provisions of law regarding consumer protection or data-subject rights.
17. General
17.1 Entire agreement
These Terms, together with the Privacy Policy at https://costplus.io/privacy-policy and the Data Processing Agreement at https://costplus.io/dpa, constitute the entire agreement between the Parties with respect to the Service and supersede all prior agreements, whether written or oral.
17.2 Severability
If any provision of these Terms is held to be unenforceable, the remainder of the Terms shall remain in effect, and the unenforceable provision shall be construed to give effect to the Parties' original intent to the maximum extent permitted by law.
17.3 No waiver
Failure by either Party to enforce any provision of these Terms does not constitute a waiver of its right to enforce that provision or any other provision in the future.
17.4 Assignment
You may not assign these Terms, in whole or in part, without Costplus's prior written consent. Costplus may assign these Terms to an affiliate or to a successor in connection with a merger, acquisition, or sale of substantially all of its assets.
17.5 Force majeure
Neither Party is liable for any failure or delay in performance caused by events beyond its reasonable control, including natural disasters, war, acts of terrorism, strikes, internet or telecommunications failures, or governmental action.

Notices to Costplus must be sent to legal@costplus.io. Notices to the Merchant will be sent to the email address associated with the Merchant's account.
